1. Focus on Work, Prohibition of Leaving Workplace, and False Reporting
- Employees shall not engage in personal activities unrelated to work that the Company does not permit during working hours.
- Employees shall not be late for work or engage in personal outings during working hours without permission from their supervisor, in order to dedicate themselves to their duties.
- Employees shall not be absent from work without permission and promptly comply with instructions to return to work.
- Employees shall accurately report their work activities and refrain from presenting false information or misrepresent facts in their reports.
2. Healthy Leisure Activities and Frugal Lifestyle Attitude
Employees shall strive to improve their quality of life through leisure activities after work, and maintain a healthy and frugal lifestyle attitude.
3. Prohibition of Unfair Instructions and Requests
Employees shall not give unfair instructions to subordinates, nor shall they follow unjust instructions from superiors.
- Employees shall not make unjust requests or engage in unfair transactions related to their duties.
4. Reporting Violations and Protection of Reporting Employees
If employees discover or become aware of any violation of laws or the Code of Ethics related to their duties, they shall immediately report it to their superior or relevant department. The Company shall strictly protect the confidentiality of the reporter and shall ensure that no disadvantage is imposed on the reporter as a result of the report.
5. Protection of Internal Information and Prohibition of Insider Trading
Internal information about the Company and its customers, obtained in the course of performing duties, shall not be shared or disclosed except through lawful procedures and may only be used for work-related purposes. Furthermore, trading in specific securities or engaging in other forms of insider trading using the Company’s and customers’ internal information is prohibited, and disclosing or utilizing such information to gain economic benefits from third parties is strictly prohibited.
- Information acquired during business activities shall be recorded and reported based on facts and shall be stored and managed as the Company's intellectual property.
- Employees shall respect the intellectual property rights of others, including patents, copyrights, and trademarks, and shall not engage in any infringement activities, including unauthorized use, reproduction, distribution, or alteration.
- When engaging in conversations or phone calls (including over the internet) with external parties or acquaintances, employees shall be cautious not to violate the Company's intellectual property protection and security duties.
* Prohibition on the external disclosure of new product information, sales, costs, discount rates (hospitals), sales data, customer data, and inventory-related data.
6. Prohibition of Conflicts of Interest
Except for cases permitted by law, employees shall not engage in activities, business transactions, or external activities that conflict with the interests of themselves, the Company, or customers, and shall not hold concurrent positions in other jobs without the Company's approval.
7. External Activities
Employees shall not express opinions through publications, lectures, or external media on matters related to their work or the Company without prior approval from the Company.
8. Restrictions on Political Activities and Donations
Employees shall not engage in political activities, such as supporting or endorsing specific parties or candidates, by using their work or position. All donations, contributions, and expenditures for political donations and social contributions made in the name of the Company require approval from the Company.
9. Restrictions on Receipt of Money, Real Estate, Gifts, and Entertainment (hereinafter "Gifts, etc.")
Employees shall not demand or accept any unauthorized Gifts, etc., from other employees or external parties (such as business partners, etc.) in connection with their duties.
- "Gift" refers to any item, securities, accommodation vouchers, memberships, admission tickets, or other similar items provided without compensation (including cases where the compensation is significantly below market prices or usual business practices).
- "Entertainment" refers to hospitality such as meals, golf, entertainment, or the provision of conveniences such as transportation and accommodation. However, following exceptions apply:
① Gifts, etc., provided under legitimate grounds such as debt repayment.
② Simple meals and conveniences such as communication and transportation provided unavoidably in the performance of duties (within social norms).
* Compliance with the Improper Solicitation and Graft Act (Anti-Graft Act)
③ Transportation, accommodation, or meals uniformly provided to attendees by the organizers at official events related to the duties.
④ Souvenirs or promotional items distributed to an unspecified large number of individuals.
⑤ Gifts, etc., publicly provided to help employees in difficult situations due to illness, disasters, etc.
⑥ Simple gifts such as flowers or fruits provided unavoidably in the performance of duties (within social norms).* Compliance with the Improper Solicitation and Graft Act (Anti-Graft Act)
⑦ Gifts, etc., provided publicly by employee mutual aid associations, etc.
⑧ Gifts, etc., provided by superiors to subordinates for consolation, encouragement, reward, etc., to boost morale.
⑨ Simple gifts such as wreaths or commemorative items publicly received for reasons such as appointment, resignation, retirement, etc.
10. Expenditure of Expenses
The use of expenses by employees must be carried out solely for the purpose of conducting the Company business, at a reasonable and necessary level. Employees shall not engage in any misconduct, such as embezzlement, misappropriation, or irregular handlings of expenses, using their position or duties to pursue personal gain by misusing Company funds or assets.
11. Private Financial Transactions
Employees shall refrain from engaging in private financial transactions with customers or accepting bribes, as well as participating in gambling activities. Excessive guarantees and borrowing require approval from the Company.
12. Mutual Respect
Employees shall respect each other's dignity, observe etiquette, acknowledge diversity, and refrain from discriminatory behavior.
13. Transparency in Transactions
The purchase of all goods and services required by the Company must be based on criteria such as quality, ease of usability, price, and contribution to the Company. Purchase decisions for goods should be made objectively, based on the reliability and integrity of the suppliers, considering the short- and long-term value of the supplies and the purpose of the purchase.
14. Prohibition of Harassment
Employees shall not engage in behavior that uses their position in the workplace or is related to their duties to subject other employees or individuals to sexual languages or actions, or to condition employment benefits on such behavior, which may result in employment-related disadvantages or create a sense of sexual humiliation.
15. Fair Competition
Employees shall not engage in unfair practices or encourage group companies to do so.
16. Cooperation Among Members
Employees shall cooperate faithfully with each other when departmental or individual collaboration is necessary for the common interests of the group.
